1. About these Terms
These Terms of Service govern your access to and use of Kova.
Kova operates under ABN 64 108 741 214.
You will be asked to accept these Terms when you create an account. By creating an account and using Kova, you agree to these Terms. If you do not agree, you must not use Kova.
2. Definitions
In these Terms:
"Kova", "we", "us", and "our" means the business operating the Kova platform and related services.
"Service" means the Kova website, application, platform, integrations, APIs, AI-assisted features, documentation, support, and related services.
"User", "you", and "your" means the person or organisation accessing or using the Service.
"Customer Data" means data, files, content, designs, screenshots, comments, project information, tickets, documents, metadata, or other material submitted to, connected to, generated in, or processed through the Service by or on behalf of you.
"Output" means tickets, descriptions, acceptance criteria, QA notes, story points, summaries, recommendations, reports, or other content generated by Kova.
3. Eligibility and authority
You must be at least 18 years old to use Kova.
If you use Kova on behalf of a company, agency, client, employer, or other organisation, you represent that you have authority to bind that organisation to these Terms and to authorise Kova to process relevant data.
4. Accounts
You are responsible for:
- keeping your login credentials secure
- all activity under your account
- ensuring team members have appropriate access
- promptly notifying us of unauthorised access or suspected security issues
- maintaining accurate account and billing information
We may suspend or restrict access if we reasonably believe your account is being misused, compromised, or used in breach of these Terms.
5. The Kova service
Kova helps users convert design, product, project, and workflow context into structured delivery outputs, including tickets and related project management content.
Kova may integrate with third-party services including Figma, Jira, Linear, Asana, Slack, Telegram, Stripe, and other tools.
Third-party services are governed by their own terms and policies. We are not responsible for third-party services or for changes, outages, permissions, pricing, API limits, or behaviour of those services.
6. AI-generated output
Kova uses AI systems to generate draft outputs.
You acknowledge and agree that:
- Output may contain errors, omissions, assumptions, duplicates, or inaccuracies
- Output may not reflect all business, technical, legal, compliance, security, or accessibility requirements
- Output should be reviewed by a suitably qualified human before being relied on
- You are responsible for approving, editing, exporting, pushing, publishing, implementing, or otherwise using Output
- Kova does not guarantee that Output will be complete, accurate, compliant, or suitable for your specific use case
Kova is a workflow assistance tool. It is not a substitute for professional judgment, technical review, legal advice, security review, delivery management, or quality assurance.
7. Customer Data
You retain ownership of Customer Data.
You grant us a limited licence to access, process, transmit, store, copy, analyse, and display Customer Data as reasonably necessary to:
- provide the Service
- operate integrations
- generate Output
- maintain and secure the Service
- provide support
- troubleshoot issues
- improve the Service in accordance with our Privacy Policy and applicable law
You represent that you have all rights, licences, consents, and permissions required to provide Customer Data to Kova and to authorise its processing through the Service.
8. Confidentiality
We will take reasonable steps to protect non-public Customer Data.
You agree not to disclose non-public information about Kova, including private beta details, unreleased features, security information, pricing arrangements, technical architecture, or commercial information, unless authorised by us or required by law.
If the operator of Kova changes due to incorporation, corporate restructure, or acquisition, we will notify users and update these documents accordingly. Your continued use of the Service after such a change constitutes acceptance of the updated operator details.
9. Acceptable use
You must not use Kova to:
- break the law
- infringe intellectual property rights
- upload or process data you are not authorised to use
- transmit malware or malicious code
- interfere with the Service
- reverse engineer, scrape, overload, or abuse the Service
- bypass usage limits, security controls, or access restrictions
- attempt unauthorised access to other accounts, workspaces, systems, or data
- use the Service for harmful, deceptive, fraudulent, or unlawful purposes
- submit highly sensitive personal information unless you have authority and the relevant plan or written approval allows it

10. Subscription, billing, and payment
Kova operates on a paid subscription model. All new accounts begin with a 7-day free trial. No payment is collected during the trial period. At the end of the trial, your nominated payment method will be charged at the rate of your selected plan unless you cancel before the trial expires.
By starting a trial, you agree that your chosen plan's fees will be charged at the end of the trial period unless you cancel before the trial expires.
If you subscribe to a paid plan, you agree to pay all applicable fees, taxes, usage charges, overage fees, and other amounts described at checkout, in your plan, or in an order form.
Billing is handled by Stripe.
Unless otherwise stated:
- subscription fees are billed in advance
- usage-based or overage fees may be billed in arrears or at agreed intervals
- fees are non-refundable except where required by law or expressly agreed
- we may suspend or downgrade access for unpaid invoices after reasonable notice
- you are responsible for keeping payment details up to date
- cancellation before the trial period ends will not result in a charge; cancellation after payment has been collected does not entitle you to a refund of the current billing period unless required by law
How to cancel
You may cancel your subscription at any time through your account settings in the Kova application. Cancellation takes effect at the end of your current billing period. If you are unable to cancel through account settings, contact admin@getkova.co and we will process your cancellation within 2 business days.
11. Free trials and beta access
Trials
All new accounts begin with a 7-day free trial. No payment is collected during the trial period. At the end of the trial, your nominated payment method will be charged at the rate of your selected plan unless you cancel before the trial expires.
We reserve the right to modify, shorten, or discontinue trial offers for new sign-ups at any time. Existing trials in progress will not be shortened without notice.
Beta access
We may offer beta access to experimental or unreleased features to selected users.
Beta features may be incomplete, unstable, changed, or discontinued without notice. By accessing beta features, you expressly acknowledge that:
- beta features are provided without warranty of any kind
- we are not liable for data loss, errors, interruptions, or other issues arising from your use of beta features
- beta access does not create any obligation for us to make any feature permanently available
- we may revoke beta access at any time
12. Intellectual property
We own or licence all intellectual property in Kova, including the software, platform, interface, branding, workflows, templates, systems, prompts, documentation, and underlying technology.
You must not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from Kova except as allowed by law or expressly authorised by us.
You own Customer Data. Subject to your ownership of Customer Data, we own improvements, learnings, analytics, aggregated insights, product features, and general platform improvements developed through operating the Service, provided they do not identify you or disclose your confidential information.
13. Feedback
If you provide feedback, suggestions, bug reports, feature requests, or improvement ideas, you assign to us all intellectual property rights in that feedback, or where assignment is not possible under applicable law, grant us an irrevocable, perpetual, royalty-free, worldwide licence to use, reproduce, modify, distribute, and commercialise that feedback without restriction or compensation.
This clause survives termination of your account or these Terms.
14. Availability and changes
We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free, or always-available access. No uptime service level agreement applies unless separately agreed in writing.
We may change, suspend, limit, or discontinue parts of the Service where reasonably necessary, including for maintenance, security, legal, operational, or product reasons.
15. Support
Support is available by email at admin@getkova.co or through documentation at www.getkova.co.
Unless an order form or written agreement states otherwise, we do not guarantee response times or resolution times.
16. Privacy and security
Our handling of personal information is described in our Privacy Policy.
Our security practices are described in our Security Statement.
You are responsible for configuring your workspace securely, limiting access to authorised users, and ensuring third-party integrations are connected only where appropriate.
17. Termination
You may stop using Kova and cancel your subscription at any time through your account settings.
We may suspend or terminate your access if:
- you breach these Terms
- payment is overdue
- your use creates security, legal, operational, or reputational risk
- required by law
- a third-party integration or platform requires action
- you misuse the Service
Where reasonable, we will provide notice and an opportunity to fix the issue before termination.
18. Data export and deletion
You may request export or deletion of certain Customer Data by contacting admin@getkova.co.
On termination or expiry of your subscription, we will delete or render inaccessible your Customer Data within 90 days, except where retention is required for legal, tax, billing, audit, backup, fraud prevention, security, or legitimate business purposes.
Some information may be retained where required for those purposes.
19. Disclaimers
To the maximum extent permitted by law:
- Kova is provided on an "as is" and "as available" basis
- we do not guarantee that the Service will meet every requirement
- we do not guarantee that Output will be accurate, complete, compliant, or suitable for your use case
- we are not responsible for decisions made based on Output
- we are not responsible for third-party platforms, APIs, outages, permissions, data, or changes
Nothing in these Terms excludes rights, guarantees, warranties, or remedies that cannot be excluded under Australian Consumer Law or other applicable laws.
20. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to the greater of:
(a) the amount paid by you to us in the three months immediately before the event giving rise to the claim; or
(b) AUD $100.
We are not liable for indirect, consequential, special, punitive, incidental, or loss-of-profit damages, including loss of revenue, business interruption, loss of goodwill, loss of data, loss of opportunity, or cost of substitute services, except to the extent such liability cannot be excluded by law.
21. Indemnity
You indemnify us against losses, claims, damages, liabilities, costs, and expenses arising from:
- your breach of these Terms
- your misuse of the Service
- Customer Data you provide or authorise us to process
- your breach of third-party rights
- your breach of law
- your unauthorised use of third-party systems or data
22. Australian Consumer Law
Nothing in these Terms limits, excludes, or modifies any consumer guarantee, right, remedy, or protection that cannot lawfully be limited, excluded, or modified.
Where permitted by law, our liability for breach of any non-excludable guarantee is limited to resupplying the services or paying the cost of having the services supplied again.
23. Atlassian Marketplace
If you access or install Kova through the Atlassian Marketplace or via an Atlassian Forge add-on, additional terms, security requirements, or data residency obligations imposed by Atlassian may apply to your use of the Service.
In the event of any conflict between these Terms and Atlassian Marketplace terms, the Atlassian Marketplace terms prevail to the extent of the conflict as they relate to your use through that channel.
We are not responsible for Atlassian Marketplace availability, review processes, listing changes, or platform modifications.
24. Dispute resolution
If a dispute arises in connection with these Terms or the Service, the parties agree to attempt to resolve the dispute through good faith negotiation before commencing any legal proceedings.
A party wishing to raise a dispute must give written notice to the other party describing the dispute in reasonable detail. The parties will then have 30 days from the date of that notice to attempt to resolve the dispute through negotiation.
If the dispute is not resolved within that 30-day period, either party may pursue their legal rights.
Nothing in this clause prevents a party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction.
25. Changes to these Terms
We may update these Terms from time to time. The updated Terms will be posted on our website with a revised effective date.
If changes are material, we will provide additional notice by email to the account owner where reasonably practicable.
Continued use of the Service after changes take effect means you accept the updated Terms.
26. Governing law
These Terms are governed by the laws of Queensland, Australia.
The parties submit to the non-exclusive jurisdiction of the courts of Queensland and the courts competent to hear appeals from those courts.
